Executive Summary
BTG PLC made a proposal to acquire publicly traded Biocompatibles International PLC (interventional medicine) for £180mm ($287mm), exchanging 1.7 BTG shares (at £4.28 apiece), plus £0.10 in cash for each Biocompatibles share. Biocompatibles shareholders, who have responded favorably to the offer, will own a 21.1% stake in the combined entity.
